These Terms & Conditions (“Terms”) govern your access to and use of the VIVIDUS LIFE website, including vividuslife.com, and your purchase or use of any coaching, educational, training, membership, course, program, digital content, community, or other services offered through the website.

The website and services are operated by VIVIDUS ENTERPRISES, LLC, a California limited liability company (“VIVIDUS,” “Company,” “we,” “us,” or “our”).

By accessing the website, creating an account, purchasing a service, enrolling in a program, or otherwise using the services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the website or services.

1. Eligibility​

You must be at least 18 years old to create an account, purchase services, or participate in paid coaching programs offered through VIVIDUS LIFE.

• Memberships or communities;

• Digital educational content;

• Training materials;

• Assessments, exercises, frameworks, and other personal-development resources; and

• Other services introduced by VIVIDUS from time to time.
   

The specific scope, duration, format, schedule, price, and deliverables of a service will be described at the time of purchase or enrollment.

VIVIDUS reserves the right to modify, discontinue, replace, or add services at any time.

3. Coaching Disclaimer​

VIVIDUS LIFE provides coaching and educational services intended to support personal development, leadership, decision-making, accountability, goal-setting, and related areas.

VIVIDUS coaching is not medical care, mental-health treatment, psychotherapy, counseling, legal advice, financial advice, investment advice, tax advice, or other licensed professional advice.

​

VIVIDUS does not diagnose, treat, cure, or prevent any disease, disorder, or medical or psychological condition.

You remain solely responsible for your decisions, actions, results, and outcomes.

​

If you require medical, psychological, legal, financial, or other professional services, you should consult an appropriately licensed professional.

​

Participation in coaching does not guarantee any particular personal, professional, financial, business, relationship, health, or other result.

4. No Guarantee of Results​

VIVIDUS makes no guarantee regarding the results you may achieve through coaching, courses, memberships, workshops, educational materials, or other services.

Individual results vary based on numerous factors, including personal circumstances, effort, consistency, implementation, decisions, resources, and factors outside VIVIDUS's control.

​

Any testimonials, examples, case studies, statements of results, or descriptions of outcomes presented on the website are illustrative and do not guarantee that you will achieve the same or similar results.

5. Accounts​

Certain features and services may require you to create an account.

​

You agree to provide accurate, current, and complete information when creating or maintaining your account.

​

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring through your account.

You agree to notify VIVIDUS promptly if you believe your account has been accessed without authorization.

You may not:
 

• Create an account using false information;

• Create an account for another person without authorization;

• Share your account credentials with another person;

• Sell, transfer, or assign your account; or

• Use another person's account without permission.
   

VIVIDUS is not responsible for losses resulting from your failure to maintain the security of your account credentials.

6. Purchases and Payment​

When you purchase a VIVIDUS service, you agree to provide accurate billing and payment information.

You authorize VIVIDUS or its authorized payment processor to charge the payment method you provide for the applicable purchase price, taxes, and any other charges expressly disclosed to you at checkout.

Prices are displayed at the time of purchase and may change for future purchases.

​

A price change will not alter the price of an order or service already purchased unless otherwise expressly disclosed and permitted by applicable law.

VIVIDUS may use third-party payment processors to process transactions. Your payment information may be handled directly by the applicable payment processor under its own terms and privacy practices.

7. Recurring Services and Automatic Renewal​

Certain memberships, programs, subscriptions, or other services may automatically renew or continue until canceled.

​

If a service automatically renews, the applicable renewal period, price or pricing structure, billing frequency, and cancellation method will be disclosed before purchase.

​

By enrolling in an automatically renewing service, you affirmatively authorize recurring charges according to the terms disclosed at enrollment.

​

You may cancel future recurring charges using the cancellation method provided for the applicable service.

​

Cancellation of a recurring service prevents future charges but does not automatically create a right to a refund for amounts already charged, except where required by applicable law or expressly stated in the applicable offer.

VIVIDUS will comply with applicable automatic-renewal and recurring-payment requirements.

8. No-Refund Policy​

All purchases of VIVIDUS LIFE coaching, courses, memberships, programs, workshops, digital content, and other services are final and non-refundable unless otherwise expressly stated in writing or required by applicable law.

By completing a purchase, you acknowledge and agree to this no-refund policy.

​

Failure to attend a coaching session, workshop, course session, group meeting, or other scheduled service does not create an automatic right to a refund.

​

Where VIVIDUS expressly permits rescheduling, the applicable rescheduling requirements will be communicated with the relevant service.

​

Nothing in this section is intended to eliminate any non-waivable consumer rights or remedies provided by applicable law.

9. Cancellation of Coaching or Membership Services​

If a service permits cancellation, the cancellation terms applicable to that service will be disclosed at enrollment.

​

For recurring services, cancellation generally applies to future billing periods and does not entitle you to a refund of charges already incurred, except where required by applicable law.

​

VIVIDUS may establish specific cancellation deadlines for individual coaching appointments, group programs, workshops, memberships, or other services.

​

Those terms will be provided with the applicable service.

10. Intellectual Property​

All content available through VIVIDUS LIFE, including but not limited to:

• Text;

• Articles;

• Videos;

• Audio;

• Graphics;

• Logos;

• Trademarks;

• Service marks;

• Course materials;

• Coaching frameworks;

• Worksheets;

• Exercises;

• Presentations;

• Downloadable materials;

• Designs;

• Programs;

• Methodologies; and

• Other materials

is owned by or licensed to VIVIDUS ENTERPRISES, LLC and is protected by applicable intellectual-property laws.

VIVIDUS, VIVIDUS LIFE, associated logos, names, slogans, program names, proprietary frameworks, and other branding elements may constitute trademarks or other protected intellectual property.

​

Except as expressly permitted by VIVIDUS in writing, you may not reproduce, distribute, modify, publish, sell, license, sublicense, publicly display, publicly perform, transmit, create derivative works from, or commercially exploit VIVIDUS content.

​

11. Limited Personal Use License​

When you purchase access to a VIVIDUS program or educational service, VIVIDUS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the materials for your own personal, non-commercial use.

​

You may not share purchased course materials, recordings, worksheets, login credentials, or other proprietary materials with individuals who have not independently purchased or been authorized to access the applicable service.

​

You may not use VIVIDUS materials to create, market, or operate a competing coaching, training, education, or consulting product without written authorization from VIVIDUS.

​

12. Confidentiality and Coaching Discussions​

VIVIDUS encourages participants to communicate openly during coaching and educational activities.

​

However, unless a separate written confidentiality agreement applies, VIVIDUS does not guarantee that information shared through group programs, communities, workshops, or other multi-participant environments will remain confidential.

You agree not to disclose, publish, or misuse another participant's personal information or confidential information that is shared with you through a VIVIDUS service.

​

VIVIDUS may disclose information when reasonably necessary to comply with law, protect rights or safety, address fraud or abuse, or operate the services.

13. User Content​

Certain services may allow you to submit, post, upload, transmit, or otherwise provide content, including comments, testimonials, responses, photographs, videos, written material, or other information (“User Content”).

You retain ownership of your User Content.

​

By submitting User Content to VIVIDUS, you grant VIVIDUS a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and use that User Content as reasonably necessary to operate and provide the services.

VIVIDUS will not use your testimonial, name, photograph, likeness, or personally identifying information for promotional purposes without any additional consent required by applicable law.

You are responsible for ensuring that your User Content does not violate the rights of another person or applicable law.

14. Prohibited Conduct​

VIVIDUS makes reasonable efforts to maintain the website and services but does not guarantee that they will always be available, uninterrupted, secure, or error-free.

To the maximum extent permitted by applicable law, VIVIDUS's total aggregate liability arising from or relating to a service will not exceed the amount you actually paid to VIVIDUS for the specific service giving rise to the claim during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

19. Indemnification​

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless VIVIDUS ENTERPRISES, LLC and its owners, members, managers, employees, contractors, coaches, agents, affiliates, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from:

• Your User Content;

• Your violation of another person's rights; or

• Your violation of applicable law.
